1. Acceptance of Terms
These Terms and Conditions (“Terms”) govern access to and use of www.charismaspd.com, related pages, portals, forms, learning platforms, communications, and online services operated by Charisma Smart Wear LLC, doing business as Charisma SPD Certification & Staffing (“Charisma SPD,” “Company,” “we,” “us,” or “our”).
By using the website, submitting information, applying, enrolling, making a payment, or electronically accepting these Terms, you acknowledge that you have read, understood, and agreed to them. If you do not agree, do not use the website or submit an application or payment through it.
2. Company Services
Charisma SPD may provide Central Sterile Processing education and certification-examination preparation; CRCST, CHL, CIS, CER, endoscopy, refresher, and continuing-education preparation; clinical-experience coordination; legally authorized security-guard or healthcare-related training; temporary healthcare staffing; career preparation; instructional materials; and other training, consulting, or workforce services.
The applicable program page, written enrollment agreement, invoice, staffing agreement, employment document, or service agreement controls the exact scope, price, schedule, admission criteria, and requirements.
3. No Guarantee of Certification, Placement, or Employment
Unless expressly promised in a signed agreement authorized by Charisma SPD, we do not guarantee admission; program completion within a particular period; passage of any certification, licensing, medical, background, drug-screening, or employer examination; certification eligibility; acceptance of education or clinical hours; any particular clinical site, shift, location, or start date; employment, interviews, compensation, hours, assignments, or continued employment; or financing approval.
Results depend on factors outside our control, including attendance, performance, conduct, payment status, facility capacity, eligibility requirements, examinations, employers, credentialing bodies, and regulatory changes. Testimonials, salaries, placement figures, and outcomes are illustrative or historical unless expressly identified otherwise. Individual results vary.
4. Independent Organizations
Charisma SPD is an independent business. References to HSPA, CRCST, hospitals, clinical facilities, employers, government agencies, payment providers, credentialing organizations, or vendors do not imply sponsorship, endorsement, ownership, agency, partnership, or affiliation unless expressly stated in writing. Third-party names, trademarks, and logos remain their owners’ property.
5. Eligibility and Accurate Information
You represent that you have legal capacity to accept these Terms, are at least 18 or have legally valid parent or guardian consent, will provide accurate and current information, and are authorized to use submitted payment methods. We may reasonably verify identity, education, employment, medical clearance, background information, payment, and eligibility. Fraudulent, altered, or materially incomplete information may result in rejection, suspension, withdrawal, removal, termination, referral, or other lawful action.
6. Enrollment
An application does not guarantee acceptance or reserve a seat. Enrollment is confirmed only after acceptance, completion of required documents, receipt of required payment or an approved arrangement, and written confirmation from Charisma SPD. Seats, instructors, schedules, and clinical opportunities may be limited.
7. Tuition, Fees, and Payment Obligations
Current charges appear in the applicable program page, invoice, payment page, or agreement and may include tuition, books, materials, uniforms, scrubs, examinations, registration, background checks, medical clearance, clinical processing, replacement materials, or third-party costs.
- All balances must be paid by stated deadlines.
- Failure to pay may result in restricted course or assessment access, loss of reserved placement, suspension, collection, or withdrawal, subject to law.
- Promotions, scholarships, waivers, and special arrangements must be confirmed in writing by an authorized representative.
- Nothing permits us to withhold a record when withholding is prohibited by law.
8. Payment Plans and Third-Party Financing
Company payment plans do not automatically extend a course or clinical period. Affirm, Klarna, Stripe, card issuers, banks, and other providers are independent. We do not guarantee approval or control underwriting, interest, fees, disputes, credit reporting, privacy, or outages. Payment is received only after successful settlement and may be reversed if rejected, disputed, or charged back. A financing dispute does not automatically cancel an enrollment agreement or valid tuition obligation.
9. Refunds, Cancellations, and Withdrawals
Program-specific refunds are governed by the applicable Enrollment Agreement and Refund Policy together with all non-waivable law. Formal withdrawal must follow the notice method in the applicable agreement. Nonattendance, silence, an informal statement to an instructor, or a payment dispute may not constitute effective withdrawal.
Refunds may depend on the effective withdrawal date, instruction offered or completed, lawful nonrefundable charges, used materials, prior payments, and the applicable statutory schedule. Nothing in these Terms reduces a refund, cancellation, cooling-off, or student-protection right that cannot legally be waived.
10. Chargebacks and Billing Disputes
Except when immediate action is reasonably necessary to address fraud or preserve a legal right, you agree to contact us promptly and attempt good-faith resolution before initiating a chargeback. A chargeback does not by itself determine whether a debt is valid. We may provide processors and financial institutions with relevant agreements, acknowledgments, attendance, access, payment, and communication records. Fraudulent disputes may result in suspension, lawful collection, recovery of permitted costs, or legal action.
11. Attendance and Academic Progress
Students must satisfy applicable attendance, participation, academic, examination, payment, conduct, and completion requirements. We may monitor participation, establish deadlines, require remediation, reschedule instruction, require repetition of incomplete components, restrict assessments until prerequisites are met, or impose lawful corrective action. Practice examinations are educational tools and do not guarantee certification success.
12. Clinical Internship and Experiential Placement
Clinical opportunities depend on availability, facility approval, eligibility, payment status, operational conditions, background and medical requirements, orientation, documentation, confidentiality, scheduling, and conduct. Locations, supervisors, departments, shifts, and start dates may change; weekend and preferred-shift placement are not guaranteed.
Facilities are independent and may deny, delay, suspend, or terminate placement. A student removed for safety, dishonesty, attendance, insubordination, confidentiality, or policy violations is not guaranteed replacement. Students are responsible for transportation, punctuality, meals, parking, childcare, and incidental expenses unless agreed otherwise in writing.
13. Professional Conduct
Harassment, discrimination, threats, violence, dishonesty, falsification, plagiarism, cheating, theft, unauthorized recording, confidentiality breaches, unsafe conduct, intoxication, disruption, refusal of lawful instructions, credential sharing, unlawful system use, or conduct creating material risk is prohibited. We may investigate and impose proportionate action, including warning, suspension, removal, withdrawal, termination, or lawful referral.
14. Staffing and Employment Services
Submitting a résumé or application does not establish employment. Eligibility may require interviews, references, credentials, work authorization, background checks, medical clearance, drug screening, orientation, competency validation, client approval, and continuing compliance. Assignments, schedules, duration, and descriptions may change or be cancelled. Employment terms are controlled by applicable written employment and assignment documents. Website content is not an employment contract or guarantee of work.
15. Security-Guard Training
Security training is offered only to the extent legally authorized. Government agencies control registration, licensing, mandated training, and employment eligibility. Course completion does not guarantee registration, licensing, employment, or agency approval. Charisma SPD does not offer armed-guard training unless expressly announced after receiving all required authorization.
16. Communications Consent
By providing contact information, you authorize transactional communications concerning your inquiry, application, enrollment, payment, class, clinical placement, employment application, or requested service. Marketing is sent only as permitted by law and your consent.
Where you expressly consent to SMS, message frequency varies and message and data rates may apply. Consent to receive marketing texts is voluntary and is not a condition of purchase, enrollment, application, employment consideration, or receiving staffing services. Reply STOP to cancel and HELP for help. Carriers are not liable for delayed or undelivered messages. Mobile opt-in information and consent records, including telephone numbers and messaging preferences, will not be sold or shared with third parties or affiliates for their own marketing or promotional purposes. Opting out of marketing does not prevent legally permitted transactional notices.
17. Electronic Signatures and Records
You consent to electronic records and signatures where permitted. Checking a box, submitting a form, typing your name, or completing an electronic transaction may constitute an electronic signature. You are responsible for retaining copies of documents presented electronically.
18. Accounts and Security
You must protect credentials and access links, restrict unauthorized device access, report suspected compromise, and accept responsibility for account activity. Paid or restricted access may not be sold, transferred, shared, or sublicensed. We may suspend access reasonably believed to be compromised, fraudulent, unlawful, or abusive.
19. Intellectual Property
Our original curricula, questions, assessments, materials, recordings, graphics, designs, branding, compilations, and software are owned by or licensed to Charisma SPD. You receive a limited, revocable, nonexclusive, nontransferable license for authorized personal use.
Without written permission, you may not copy, sell, publish, record, distribute, share paid content or answer keys, remove ownership notices, create unauthorized derivatives, scrape content, train an artificial-intelligence system with our materials, misrepresent authorship, or misuse Company marks. Unauthorized use may result in access termination and legal remedies.
20. User Content and Submissions
You retain ownership of submitted content while granting us a nonexclusive, worldwide, royalty-free license to host, store, reproduce, process, and transmit it as reasonably necessary to operate services, administer applications and enrollment, evaluate eligibility, comply with law, and fulfill requests. You represent that submissions are lawful and noninfringing. Do not submit patient information through ordinary forms unless specifically designated for that purpose.
21. Testimonials, Images, and Reviews
Identifiable names, images, recordings, or testimonials will be used for promotion only with an appropriate legal basis or permission. A separate media release controls authorized use. Testimonials must reflect genuine experiences and will not be conditioned on positive sentiment. Nothing prohibits honest reviews, lawful complaints, protected reports, or communications with regulators.
22. Privacy
Personal information is handled under our Privacy Policy and applicable law. Although reasonable safeguards are used, no electronic transmission or storage system can be guaranteed completely secure.
23. Acceptable Website Use
You may not violate law or third-party rights; gain unauthorized access; introduce malware; interfere with security or availability; evade restrictions; scrape without permission; submit fraudulent forms or payments; harvest personal information; impersonate another person; harass others; or assist prohibited conduct. We may restrict access to protect users, systems, operations, or third parties.
24. Third-Party Services
Links to payment providers, certification organizations, agencies, facilities, employers, and other third parties are provided for convenience. We do not control their content, availability, policies, security, eligibility decisions, fees, data handling, products, acts, or omissions. Their own terms govern your use.
25. Website Availability and Corrections
We may modify, suspend, discontinue, or correct website features and content. We do not guarantee uninterrupted, timely, secure, or error-free operation. We may correct obvious pricing, scheduling, typographical, or technical errors and lawfully cancel or adjust affected transactions. Material changes to signed agreements require any consent mandated by law or contract.
26. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, THE WEBSITE AND GENERAL INFORMATION ARE PROVIDED “AS IS” AND “AS AVAILABLE.” CHARISMA SPD DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND AVAILABILITY.
This does not eliminate express duties under an executed agreement or rights that cannot legally be excluded.
27. Limitation of Liability
To the fullest extent permitted by law, Charisma SPD and its owners, officers, employees, instructors, contractors, and agents are not liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from website use or general website information.
For a claim arising solely from website use and not governed by another agreement, aggregate liability will not exceed the greater of the amount paid directly to Charisma SPD for the website-related service during the preceding six months or $100. These limits do not apply where prohibited, including non-waivable liability for fraud, willful misconduct, gross negligence, personal injury, or statutory rights.
28. Indemnification
To the fullest lawful extent, you agree to indemnify and defend Charisma SPD and its representatives from third-party claims and reasonable legal expenses arising from unlawful website use, fraudulent submissions, infringement, unauthorized distribution of protected materials, or material breach of these Terms. You are not required to indemnify us for our negligence, unlawful conduct, or liability that cannot legally be shifted.
29. Force Majeure
We are not responsible for delay or nonperformance caused by events beyond reasonable control, including severe weather, emergencies, government orders, labor disruption, utility or internet failure, cyber incidents, transportation disruption, facility closure, vendor failure, instructor emergency, or clinical-site restriction. We may reasonably reschedule, relocate, substitute instructors, use remote instruction, extend timelines, or provide another lawful remedy. Required refund rights remain unaffected.
30. Complaints and Informal Resolution
Before filing suit, each party agrees to provide written notice describing the dispute and requested resolution and allow 30 days for good-faith resolution. This does not prevent emergency relief, small-claims proceedings, compliance with a legal deadline, a government complaint, or exercise of a non-waivable right.
31. Arbitration and Class-Action Waiver
Except for small-claims matters, emergency injunctive relief, government proceedings, and claims that cannot legally be arbitrated, disputes arising from these Terms or website transactions will be resolved through individual binding arbitration administered by the American Arbitration Association under applicable consumer rules. Arbitration may occur in Bronx County or New York County, remotely, or at another agreed location.
Where enforceable, each party waives jury trial and agrees to bring claims individually rather than as a class, collective, consolidated, or representative action. A consumer may opt out by emailing info@charismaspd.com within 30 days after first accepting these Terms, including their name, contact information, and an unequivocal statement declining arbitration. If the class waiver is inseparable and unenforceable for a claim, that claim will proceed in court.
32. Governing Law and Venue
New York law governs these Terms without regard to conflict-of-law principles. Disputes not subject to arbitration will be heard in an appropriate state or federal court in Bronx County or New York County, unless applicable law requires another forum.
33. Changes to These Terms
We may revise these Terms prospectively and post the updated date. Material changes may receive additional notice. Changes do not retroactively alter a signed enrollment, payment, staffing, employment, or service agreement unless permitted by that agreement and law. Continued website use constitutes acceptance only where affirmative consent is not legally required.
34. Termination and General Terms
We may suspend website access for material breach, fraud, unlawful conduct, misuse, or security threats. Payment, intellectual-property, liability, indemnification, and dispute provisions intended to survive will remain effective. Website termination does not independently cancel another agreement.
If a provision is invalid, it will be enforced to the maximum lawful extent or severed while the remainder continues. Failure to enforce a term is not a waiver. You may not assign these Terms without written consent. We may assign them in a lawful merger, reorganization, financing, asset transfer, or transfer to an affiliate or successor.
Order of priority
- Non-waivable law;
- An applicable signed enrollment, employment, staffing, clinical, or service agreement;
- The applicable Refund Policy or Code of Conduct;
- The Privacy Policy for privacy matters; and
- These website Terms.
